BRICKELL · WALL STREET SOUTH

Business sales & M&A in Brickell.

Selling a company means decisions about money, employees and your future. Start with a clear business case and an approach that respects what you have built.

THE SHORT ANSWER

How should a Brickell founder prepare for an M&A discussion?

A Brickell founder should be ready to explain supported earnings, recurring or project revenue, customer concentration, management coverage and the desired role after closing. Compare strategic and private equity buyers against those facts. An address in the Financial District does not establish a valuation premium on its own.

A useful next step. Define your preferred exit and compare cash at closing, future payments and any continuing ownership with your advisors.

Prepare the company behind the address.

For founders in the Brickell Financial District and Miami’s technology community, the buyer discussion starts with earnings, customer relationships and management. An office near Brickell Avenue or Brickell City Centre does not establish a valuation premium.

For a professional services firm, examine client retention and dependence on key people. For software or IT services, discuss contracted revenue, customer concentration, intellectual property ownership and the founder’s responsibilities. The preparation needs to match the actual business.

Private equity exits in Miami: compare the entire offer.

A private equity firm may assess a standalone platform or an add-on for a portfolio company. A strategic acquirer may see a different fit. We discuss who to approach and whether the proposed transition fits your plans.

Separate cash at closing from seller financing, earnouts and proposed rollover equity. Working capital, financing conditions and your continuing duties also matter. Your attorney and CPA should review the implications; I coordinate with them and any independently engaged QoE team.

A confidential valuation for Florida founders.

You can explore your options before deciding to sell. We start with a discussion of supported earnings, operations and the records available. It is an initial brokerage market assessment, not a certified appraisal.

Before marketing, agree on the description, buyer screening and staged disclosure of identifying information. NDA procedures support confidentiality but do not remove every risk.

A local point of contact for national buyers.

If you are relocating from the Northeast, West Coast or elsewhere in the country, discuss the acquisition and your intended operating role together. Consider the management team, customer relationships, premises and transition requirements rather than relying on location alone.
