Transaction examples and general preparation guidance.

Linked public records support only the transaction status and broker attribution expressly stated. Preparation considerations beside transaction examples are general industry guidance, not an account of private negotiations, diligence findings or client outcomes. Electrical, generator and HVAC sales are described by Mitchell Weinberger. He also confirms that the property management company in the public examples was sold to a private equity buyer. No private client identities or deal terms are published.

We strongly recommend that every buyer and every seller retain an independent CPA and a qualified attorney before entering binding agreements or completing a transaction. Each party should have its own advisors review the financial, tax, legal and transaction issues relevant to that party.

Buyers should arrange independent financial and operational due diligence, including review of underlying records, earnings adjustments, liabilities and assumptions. Sellers should work with their CPA and attorney on the accuracy of disclosures, tax consequences, deal structure and contractual obligations. The scope of diligence should be agreed with your advisors; this website does not perform it for you.

The readiness check is not a valuation.

The score uses your answers to five preparation questions. It does not verify financial records, estimate a dollar value, determine a multiple or predict a sale. Its weights are a discussion framework, not transaction evidence. Unknown answers count as zero and are flagged for review.

A brokerage valuation discussion is a market assessment for a possible sale, based on the information available and the scope agreed. It is not a certified appraisal or an opinion prepared for tax, litigation or other formal purposes.

An inquiry starts a conversation.

Using this website, completing the tool or submitting the form does not by itself authorize marketing your business or commit you to listing, buying or selling. The scope and terms of any services will be discussed separately. This page does not replace transaction documents or disclosures required for a particular engagement.

Business information, listings, availability and market conditions can change. Information supplied by sellers or other third parties needs to be checked as part of a buyer’s independent diligence. Confirm current details before relying on them.

Selected completed transactions and the attributed testimonial describe particular past experiences. They are not promises about your sale price, timing, financing, buyer interest or outcome. No sale or financing approval is guaranteed.

Financial-information reliance and limits of liability.

Do not rely solely on a listing, financial summary, earnings adjustment, projection, readiness score or brokerage discussion as the basis for buying or selling a business. Make your decision after your own investigation and advice from your CPA, attorney and other appropriate professionals.

To the extent permitted by applicable law, Mitchell Weinberger, Mitchell Weinberger, P.A. and Sunbelt Business Brokers of South FL Inc. disclaim liability for losses caused solely by errors, omissions or inaccuracies in financial or business information supplied by sellers or other third parties that they have not independently verified.

This limitation does not apply to fraud, intentional misrepresentation, gross negligence, willful misconduct or liability that applicable law does not allow to be limited. It does not remove statutory disclosure duties, excuse knowingly false statements or waive rights or obligations that cannot legally be waived.

Any transaction-specific release, waiver of claims or allocation of liability should be set out in a separate agreement reviewed by the parties’ attorneys. This website page does not amend an existing signed agreement or replace documents and disclosures required for your transaction.
