Business brokerage or an M&A process?
An individual operator, strategic acquirer and private equity firm may have different priorities. A company may fit a standalone acquisition or an add-on to an existing portfolio business. The management team, supported earnings, customer relationships and your intended transition help shape the buyer strategy.
We discuss the appropriate scope, how the opportunity will be presented and which buyers make sense to approach. The scope should reflect the company, the likely buyers and the work needed to evaluate an offer.
What we work through before going to market.
First, we discuss your timing, objectives and the information available. Brokerage services are provided through Sunbelt Business Brokers of South FL Inc., with the scope and terms agreed separately.
- Financial presentation: organize the records supplied and document the explanation behind proposed earnings adjustments.
- Operations: understand the team, your responsibilities, major customers and the transition a buyer may need.
- Confidential marketing: agree on the business description, buyer qualification and staged information sharing.
- Offers: compare price, cash at closing, financing conditions, working capital, earnouts, any proposed rollover equity and transition requirements with your advisors.
- Diligence and closing: coordinate requests with each side’s attorney, CPA, quality of earnings (QoE) team and lender, where engaged. Independent professionals perform their own reviews.
Be ready for a more detailed financial review.
For a strategic or private equity transaction, discuss the diligence scope early. Buyers may ask for monthly results, a bridge from reported to adjusted EBITDA, customer-level revenue, working capital detail and support for each proposed add-back.
An independent quality of earnings (QoE) team can be engaged to assess earnings and related financial issues within an agreed scope. I coordinate requests and communication; I do not perform a QoE review or independently verify the financials. Your advisors should help determine what is appropriate for the transaction.
Confidentiality needs a process.
An initial introduction does not need to identify the business to the public. Before sharing confidential details with a prospective buyer, the process includes an NDA, buyer profile and proof of funds as appropriate.
We agree on when identifying information can be shared. Financial, legal and operational records should be exchanged through an appropriate process, rather than the website contact form.
Completed work you can check.
Public Sunbelt records identify me as the listing broker on a sold CPA firm, a Miami-Dade property management company and a North Florida salvage yard. These are individual completed transactions, rather than a promise about another owner’s result.

Tell me what the business does, where it operates, the rough revenue range and when you might want to sell. We can discuss the records needed for a brokerage market assessment and a practical next step.
If you are planning ahead, the readiness check can help identify a preparation priority. It gives you a useful place to start without asking you to share financial records or commit to listing.
