SELL-SIDE M&A ADVISORY · MIAMI & FLORIDA
Build the sale around your business and your objectives.
Complex businesses and unconventional transactions call for creative thinking and a tailored approach. The right process depends on the company, the likely buyers and what the owner wants afterward. A bigger headline price is not the only measure of a good offer.
THE SHORT ANSWER
What does sell-side M&A advisory involve here?
Mitchell’s brokerage role includes sale preparation, buyer strategy, confidential marketing, buyer qualification, commercial offer discussions and transaction coordination. Your independently retained attorney, CPA, lender and quality of earnings team, where engaged, perform their own professional reviews. Brokerage preparation does not independently verify financial information.
A useful next step. Agree on the engagement scope, likely buyer types and the information needed before approaching the market.
Agree on the scope before approaching buyers.
We discuss the operating business, earnings history, ownership structure and desired transition. From straightforward business sales to complex transactions, I tailor the approach to the company and the owner’s objectives.
An individual operator, strategic acquirer or private equity team may evaluate the same company differently. The buyer strategy should follow the facts and your objectives, not a generic list of investors.
Make the earnings explanation usable.
Organize monthly results, proposed adjustments, customer revenue and management responsibilities. Identify the information a prospective buyer will need, then agree on a confidential marketing and staged disclosure process.
Where independent financial diligence is appropriate, your CPA and QoE team scope and perform it. Brokerage preparation does not independently verify financial statements or certify adjusted EBITDA.
Compare price, conditions and your continuing exposure.
Discuss cash at closing, seller financing, performance-based payments, working capital and any proposed retained ownership. A nonbinding indication, a signed agreement and a funded closing are different milestones.
Your attorney and CPA should evaluate legal, tax and financial consequences. I coordinate commercial discussions, schedules and information requests with the parties and their independent advisors. I do not perform financial or legal due diligence, arrange investment funding or guarantee a transaction outcome.
